We want Delcu products to be useful, dependable, and straightforward. These Terms of Use explain what you can expect from us and what we expect from you.
1. Agreement to these terms
By accessing or using a Delcu website, product, or service, you agree to these Terms of Use and our Privacy Policy. If you use Delcu on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
Some products, subscriptions, custom development projects, or enterprise services may have additional written terms. If those terms conflict with these general terms, the specific written terms apply to that service.
2. Accounts and access
You must provide accurate information, keep account details current, and protect your sign-in credentials. You are responsible for activity under your account and for ensuring that authorised users comply with these terms.
Tell us promptly if you believe an account has been compromised. We may limit or suspend access where reasonably necessary to protect users, information, or the service.
3. Acceptable use
You may use our services only in compliance with applicable law and these terms. You must not:
- Use a service for unlawful, fraudulent, deceptive, abusive, or harmful activity.
- Infringe intellectual property, privacy, publicity, or other rights.
- Upload malware or attempt to bypass, probe, disrupt, or overload security or infrastructure.
- Access another user’s account or data without proper authorisation.
- Reverse engineer or copy a service except where the law expressly permits it.
- Use automated methods to extract data in a manner that harms the service or violates applicable restrictions.
We may investigate suspected misuse and take proportionate action, including removing content, restricting access, or terminating an account.
4. Your content
You retain ownership of content you submit to a Delcu service. You give Delcu the limited permission needed to host, process, reproduce, display, transmit, back up, and otherwise handle that content to provide and improve the service.
You are responsible for your content and confirm that you have the rights and permissions needed to use it. You are also responsible for notices, consents, and lawful instructions required when you collect or manage information about other people through a Delcu product.
Feedback you voluntarily provide may be used by Delcu without restriction or payment, provided we do not publicly identify you without permission.
5. Services, subscriptions, and payment
Product features, limits, fees, and billing periods are described when you order or subscribe. You agree to pay applicable charges and taxes. Recurring subscriptions may renew automatically unless cancelled in accordance with the terms shown at purchase.
We may change products and features to improve performance, security, or usefulness. We will make reasonable efforts to notify affected customers before a material reduction to paid functionality.
Custom software and professional services are governed by the applicable proposal, statement of work, or service agreement, including its delivery, acceptance, payment, and ownership terms.
6. Delcu intellectual property
Delcu and its licensors own the services, software, designs, trademarks, documentation, and related materials, excluding your content. Subject to these terms and payment of applicable fees, Delcu grants you a limited, non-exclusive, non-transferable right to use the relevant service during your authorised subscription or access period.
7. Third-party services
Our products may connect to third-party services. Their terms and privacy practices apply to their services. Delcu is not responsible for third-party products, content, availability, or decisions, but we aim to choose integrations that support a reliable experience.
8. Availability, warranties, and liability
We work to keep our services secure and available, but services may occasionally be interrupted, changed, or unavailable. To the extent permitted by law, services are provided “as is” and “as available” without warranties not expressly stated in a written agreement.
To the extent permitted by law, Delcu will not be liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, revenue, data, or business opportunities. Delcu’s total liability relating to a service will not exceed the amount you paid Delcu for that service during the twelve months before the event giving rise to the claim.
Nothing in these terms excludes rights, warranties, or liabilities that cannot lawfully be excluded or limited.
9. Suspension and termination
You may stop using a service at any time and may cancel as described in your account or service terms. We may suspend or terminate access if you materially breach these terms, create risk or harm, fail to pay amounts due, or if continued provision is unlawful. Where practical, we will provide notice and an opportunity to resolve the issue.
10. Changes and general terms
We may update these terms to reflect product, legal, or operational changes. We will post updated terms here and change the date above. Material changes may be communicated through the service.
If any provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. You may not transfer these terms without our consent; Delcu may transfer them as part of a reorganisation, financing, acquisition, or sale of assets.
11. Contact us
If you have a question about these terms, contact Delcu and tell us which product or service your question concerns.
